    1. DESCRIPTION OF REQUIREMENT
    
    The Centre for Foreign Languages (CFSL) is a learning Centre that is part of the Canadian Foreign Service Institute (CFSI) which is the primary training provider for Global Affairs Canada (GAC). CFSL is mandated to provide language training and testing services in a number of foreign languages to GAC staff and their eligible dependents. CFSL also offers foreign language training, testing and ancillary services to federal, provincial and municipal governments in Canada and foreign governments.
    
    The CFSL has a requirement for foreign language training, testing and related services to be provided to its clients in the National Capital Region and in some cases, throughout Canada, the United States and overseas. The Contractor may be required to provide foreign language training services on a full time or part time basis, to a group or to individual clients, in the classroom or by delivery in a virtual distance learning format.
    
    The objective of this Contract is to enable CFSL to carry out its mandate to provide full-time and part-time proficiency oriented language training in a large variety of foreign languages. CFSL training programs are aimed at increasing professional competency and facilitate social integration during the assignment abroad of the employees of Global Affairs Canada (GAC).
    
    The Bidder could be required to provide the following services:
    
    1. Foreign Language Teaching services
    2. Foreign Language Proficiency Testing services
    3. Pedagogical Advisory services
    4. Foreign Language Test Design and Development services
    5. Foreign Language Learning and Testing Product Design and Development services
    6. Research and Strategic Analysis Services Related to Foreign Language Training and Testing
    7. IT Support Services
    8. Coordination Services Related to Foreign Language Training and Testing. 
    
    The requirement is subject to the following provisions: 
    
    - Canadian Free Trade Agreement (CFTA);
    - Canada-Chile Free Trade Agreement (CCFTA);
    - Canada-Colombia Free Trade Agreement (CCoFTA);
    - Canada - Honduras Free Trade Agreement
    - Canada-Panama Free Trade Agreement and
    - Canada-Peru Free Trade Agreement (CPFTA).
    
    This procurement is not subject to the Comprehensive Land Claims Agreements (CLCA). 
    
    2. PERIOD OF THE CONTRACT 
    
    The bid solicitation is intended to result in the award of one (1) contract covering an initial period of three (3) years, with the irrevocable option to extend the period of the contract by up to two (2) additional one (1)-year periods under the same conditions. There is also a two (2) months optional transition period from the contract to a new contract with another supplier.
    
    3. SECURITY REQUIREMENT

    4. EVALUATION PROCEDURES
    
    (a) Offers will be assessed in accordance with the entire requirement of the bid including the technical evaluation criteria.  
    
    (b) An evaluation team composed of representatives of Canada will evaluate the offers.
    
    5. BASIS OF SELECTION - LOWEST EVALUATED PRICE PER POINT
    
    To be declared responsive, a bid must: 
    
    (a) comply with all the requirements of the bid solicitation; and
    (b) meet all mandatory evaluation criteria; and
    (c) obtain the required minimum number of points specified in Attachment 1 to Part 4 for the point rated technical criteria.   
    
    Bids not meeting (a) or (b) or (c) will be declared non-responsive. 
    Neither the responsive bid obtaining the highest number of points nor the one with the lowest evaluated price will necessarily be accepted.
    The evaluated price per point of a responsive bid will be determined by dividing its evaluated price by the overall score it obtained for all the point rated technical criteria detailed in Attachment 1 to Part 4.
    
    6. BASIS FOR CANADA'S OWNERSHIP OF INTELLECTUAL PROPERTY
    
    Global Affairs Canada (GAC) has determined that any intellectual property rights arising from the performance of the Work under the resulting contract will belong to Canada, for the following reasons, as set out in the Policy on Title to Intellectual Property Arising Under Crown Procurement Contracts: the Intellectual Property in Foreground Information consists of material subject to copyright, with the exception of computer software and all docum
