If no supplier submits a statement of capabilities that meets the requirements set out in the ACAN, on or before the closing date stated in the ACAN, the contracting officer may then proceed with the award to the pre-identified supplier. Definition of Requirements The Department of National Defence (DND) has a requirement to establish a Standing Offer for the purpose of procuring spare parts for various Radar and Fire Control Systems deployed onboard the Royal Canadian Navy Patrol Frigates (Halifax Class). The Standing Offer will support the following systems: - Sea Giraffe Family of Radars (SG-150, SG-180) - CEROS Fire Control Directors (CEROS 200) - 9LV Command and Fire Control System The Standing Offer period will be three (3) years, and will included the option to extend the Standing Offer for up to two (2) additional one (1) year periods. A standing offer (SO) is an offer from a supplier to Canada that allows Canada to purchase goods and/or services, or a combination of goods and services, as and when requested, during a specific period of time, through the use of a call-up process which incorporates the conditions and pricing of the standing offer. A standing offer itself is not a contract. A separate contract is formed each time a call-up for the provision of goods and/or services is made against a standing offer. When a call-up is made, it constitutes an unconditional acceptance by Canada of the supplier's offer for the provision, to the extent specified, of the goods and/or services described in the standing offer. Criteria for assessment of the Statement of Capabilities (Minimum Essential Requirements) Any interested supplier must demonstrate by way of a statement of capabilities that they can supply Spare Parts under a Standing Offer agreement for the above mentioned radar systems. Due to the nature of the requirement, subsequent list revisions may be made over the course of the Standing Offer period if spare parts to support the above stated Radar and Fire Control systems need to be added or removed from the list. Applicability of the trade agreement(s) to the procurement The goods are classified under N1285, "Fire Control Radar Equipment, except Airborne" and are excluded from the World Trade Organization Agreement on Government Procurement and the North American Free Trade Agreement. Limited tendering strategy is in accordance with the Agreement on Internal Trade Article 506.12(a) Exclusive Rights Set-aside under the Procurement Strategy for Aboriginal Business This procurement is not subject to any Set-Asides. Comprehensive Land Claims Agreement(s) This procurement is not subject to Comprehensive Land Claim Agreements. Justification for the Pre-identified Supplier The goods can only be supplied by the proposed OEM supplier,Saab Microwave Canada Ltd. of Dartmouth Nova Scotia, and no alternative or substitute source of supply exists. Government Contracts Regulations Exception(s) and Limiting Tendering Reasons The following limited tendering reasons pertain to this requirement: Government Contracts Regulations, Part 1, Section 6, (d); Agreement on Internal Trade (AIT), Article 506, 12. (a); North American Free Trade Agreement (NAFTA), Article 1016, 2.(b); World Trade Organization Agreement on Government Procurement (WTO-AGP), Article XV, 1.(b). Ownership of Intellectual Property Ownership of any Foreground Intellectual Property arising out of the proposed contract will vest in the Contractor. An Advance Contract Award Notice (ACAN) allows departments and agencies to post a notice, for no less than fifteen (15) calendar days, indicating to the supplier community that it intends to award a good, service or construction contract to a pre-identified contractor. If no other supplier submits, on or before the closing date, a Statement of Capabilities that meets the requirements set out in the ACAN, the contracting authority may then proceed with the award. However, should a Statement of Capabilities be found to meet the requirements set out in the ACAN, then the contracting authority will proceed to a full tendering process. Suppliers who consider themselves fully qualified and available to provide the services/goods described herein, may submit a statement of capabilities in writing to the contact person identified in this Notice on or before the closing date of this Notice. The statement of capabilities must clearly demonstrate how the supplier meets the advertised requirements. The PWGSC file number, the contracting officer's name and the closing date of the ACAN must appear on the outside of the envelope in block letters or, in the case of a facsimile transmission, on the covering page. The Crown retains the right to negotiate with suppliers on any procurement. Documents may be submitted in either official language of Canada.
