ADVANCE CONTRACT AWARD NOTICE 1. The purpose and explanation of an ACAN An Advance Contract Award Notice (ACAN) allows Health Canada contracting authorities to post a notice on Buy and Sell, for no less than fifteen (15) calendar days, indicating to the supplier community that a good, service or construction contract will be awarded to a pre-identified contractor. If no other supplier submits, on or before the closing date, a Statement of Capabilities that meets the requirements set out in the ACAN, the contracting authority may then proceed with the award. However, should a Statement of Capabilities be found to meet the requirements set out in the ACAN, then the contracting authority will proceed to a full tendering process. 2. Rights of suppliers Suppliers who believe they are fully qualified and available to provide the services or goods described in this ACAN may submit a Statement of Capabilities clearly demonstrating how they meet the advertised requirement. This Statement of Capabilities must be provided via e-mail only to the contact person identified in Section 12 of the Notice on or before the closing date and time of the Notice. If there is a reasonable level of evidence regarding capability, the requirements will be opened to electronic or traditional bidding processes. 3. Proposed Contractor Chubb Edwards (UTC Fire & Security Canada) 8 Hearst Way Ottawa, Ontario K2L 2P4 4. Definition of Requirements or Expected Results 4.1 The contractor will provide maintenance, testing and related services to Health Canada for its Fire Alarm System and all related equipment at the Sir Frederick Banting Building, 251 Sir Frederick Banting Driveway, Tunney’s Pasture, Ottawa, Ontario K1A 0K9. The Contractor shall furnish all necessary tools, ladders, equipment, services, materials and labour to execute the work required for the performance of the work described in the following: a) The Contractor shall provide maintenance services as detailed below to maintain the Fire Alarm Systems, Smoke Detection System and Dry Chemical Kitchen Fire Suppression System. b) Included in Contract: The Contractor shall provide maintenance services as detailed below to maintain the minimum number of components of the systems identified in: i) The Fire Alarm Systems; ii) Dry Chemical Kitchen Fire Suppression Systems. The Contractor shall be responsible for the following: a) Labour for all inspections, testing, cleaning adjustments and preventative maintenance; b) Labour for all maintenance and repairs; c) Labour for replacement of any components; d) Cleaning material; e) Lamps, transformers, fuses and pilot lights, links and other small parts; f) Transportation and/or mileage costs. 5. Minimum requirements Any interested supplier must demonstrate by way of a Statement of Capabilities that it meets the following minimum requirements: 5.1 The EST3 System Definition Utility Software (SDU) for the Fire System is proprietary software. Chubb Edwards is the only original equipment manufacturer located in the Ottawa area, Chubb Edwards own the proprietary rights to this software. 5.2 Chubb Edwards has the only factory trained and certified EST3 Technicians qualified to do the programming of the EST3 SDU Software. Only factory trained Technicians can replace any or all components or perform software upgrades. 5.3 Chubb Edwards provides local technical support and is the only company that can provide the warranty on replacement parts, software upgrades and they must install them. 6. Reason for non-competitive award In accordance with the Government Contracts Regulations (GCR), the following request falls under exception Section 6d. of the GCR’s, which stipulates that only one person or contractor is capable of performing the contract. Chubb Edwards has the proprietary right to the EST3 System Definition Utility (SDU) Software. They are the only company capable of providing these services and provide warranty on replacement parts and software upgrades. 7. Applicable trade agreements and justification for limited tendering or the Procurement Strategy for Aboriginal Business This procurement is subject to the Agreement on Internal Trade (AIT), North American Free Trade Agreement (NAFTA) and the World Trade Agreement-Agreement on Government Procurement (WTO-AGP) NAFTA- Limited tendering reason; the goods or services can be supplied only by a particular supplier and no reasonable alternative or substitute exists, As per Article 1016.2(B) WTO- Limited tendering reason; the products or services can be supplied only by a particular supplier and no reasonable alternative or substitute exists, As per Article XV (15), Paragraph 1 (b) AIT- Limited tendering reason; where there is an absence of competition for technical reasons and the goods or services can be supplied only by a particular supplier and no alternative or substitute exists, As per Article 506 Paragraph12 (b) 8. Ownership of Intellectual Property Ownership of any Foreground Intellectual Property arising out of the proposed contract will vest with the Contractor. 9. Period of the proposed contract The proposed contract is for a period of five (5) years, from March 1, 2014 to February 28, 2019. 10. Estimated value of the proposed contract The total estimated value of the proposed contract should not exceed $242,033.57 including HST. 11. Closing date and time The closing date and time for accepting Statements of Capabilities is: February 19, 2014, 2 p.m. EST. 12.
