Trade Agreement: Canadian Free Trade Agreement (CFTA) Tendering Procedures: Generally only one firm has been invited to bid Non-Competitive Procurement Strategy: Government Objectives Representing Best Interests/Value to Govt Comprehensive Land Claim Agreement: No Vendor Name and Address: Keyence Canada Inc. 6775 Financial Drive Suite 202 Mississauga Ontario Canada L5N0A4 Nature of Requirements: Optical Microscope System AMENDMENT 001: Correction to project's title 1.ADVANCE CONTRACT AWARD NOTICE (ACAN) An ACAN is a public notice indicating to the supplier community that a department or agency intends to award a contract for goods, services or construction to a pre-identified supplier, thereby allowing other suppliers to signal their interest in bidding, by submitting a statement of capabilities. If no supplier submits a statement of capabilities that meets the requirements set out in the ACAN, on or before the closing date stated in the ACAN, the contracting officer may then proceed with the award to the pre-identified supplier. 2. DEFINITION OF THE REQUIREMENT Public Works and Government Services Canada (PWGSC), on behalf of its client, Fisheries and Oceans Canada, would like to establish a contract in order to obtain an optical Microscope System from Keyence Canada Inc. Fisheries and Oceans Canada is interested in acquiring an optical microscope system to take digital photographs scallop shells and other biological structures for the inventory of specimens, as well as for the measurement of certain specimen parts. 3. CRITERIA FOR ASSESSMENT OF THE STATEMENT OF CAPABILITIES (Minimum Essential Requirements) Any interested supplier must demonstrate by way of a statement of capabilities that its product meets the requirements of the requirement and that it includes the following components and/or specifications: An optical microscope with the following specifications: 1) Optical lens allowing magnification for a field of view between 15.1 mm and 1.51 mm, with optical depth of field of 34 mm. 2) Darkfield polarization and angled light adaptor included, to remove reflection and glare. 3) Motorized XY table, 10 x 10 cm. The motorization should be in XY plane as well as in Z plane for moving the stage up and down 50 mm. Must also have a focusing camera and collision prevention 4) Motorized Z axis with at least a 0.1mm resolution and a displacement range (XY), important to prevent collision with samples. 5) Tilting support (180°) 6) Ability to generate multilayer images 7) Ability to generate mosaic images with a maximum resolution of 50000 x 50000 pixels or more. 8) Ability to remove the lens from the base for handheld imaging. 9) High resolution image sensor (minimum standard pixels of 2048(H) x 1536(V)). 10) Possibility of connecting 2 different cameras (Camera selection by software) at the same time. 11) Recording formats: JPEG and TIFF (16-Bit colour) 12) Ability to make HDR (High Dynamic Range) photos. 13) Ability to take 3D images 14) Ability to generate videos 15) Process automation to speed up the capture of multiple images. The device must be able to reapply the same conditions for taking a photo from the same series (Magnification, exposure, lighting, colour and image management). 16) Operational user programming capability (open source) to modify the software code to adapt the experimental protocols used. For example, must be able to modify all the steps of image capture to add external components such as time lapse or analysis of different images (stacking). 17) Image analysis software for measurements, counting, colour or structure recognition 18) Particle analysis software 19) Bilingual analysis software (French/English) 20) Includes a computer and its accessories (keyboard, mouse, control console, USB ports) 21) Unlimited training for the life of the microscope (10 years). 22) Provide a replacement unit free of charge in case of breakage within 24 hours during the first 10 years. 23) Ability to transfer analysis software and image package files to users at other desktops to perform image analysis. 4. APPLICABILITY OF THE TRADE AGREEMENT(S) TO THE PROCUREMENT This procurement is subject to the following trade agreements: - Canadian Free Trade Agreement (CFTA) 5. GOVERNMENT CONTRACTS REGULATIONS EXCEPTION The following exception(s) to the Government Contracts Regulations is invoked for this procurement under subsection 6(d) - "only one person is capable of performing the work". 6.EXCLUSIONS AND/OR LIMITED TENDERING REASONS The following exclusion(s) and/or limited tendering reasons are invoked under the (section of the trade agreement(s) specified): Canadian Free Trade Agreement (CFTA) Chapter Five - Government Procurement Article 513: Limited Tendering 1. Subject to paragraphs 2 and 3, and provided that it does not use this provision for the purpose of avoiding competition among suppliers or in a manner that discriminates against suppliers of any other Party or protects its own suppliers, a procuring entity may use limited tendering in the following circumstances: (b) if the goods or services can be supplied only by a particular supplier and no reasonable alternative or substitute goods or services exist for any of the following reasons: (iii) due to an absence of competition for technical reasons. 7. JUSTIFICATION FOR THE PRE-IDENTIFIED SUPPLIER Keyence Canada Inc. manufactures the optical microscope system which combine all the unique and essential characteristics required by Fisheries and Oceans Canada. Consequently, in accordance with government contracting policy, it is proposed that a contract be awarded to Keyence Canada Inc., which is to our knowledge, the only firm capable of supplying the products. 8. OWNERSHIP OF INTELLECTUAL PROPERTY Ownership of any Foreground Intellectual Property arising out of the proposed contract will vest in the Contractor. 9. PERIOD OF THE PROPOSED CONTRACT OR DELIVERY DATE The equipment must be delivered on or before March 31, 2022 10. NAME AND ADDRESS OF THE PRE-IDENTIFIED SUPPLIER Keyence Canada Inc. 6775 Financial Drive #202, Mississauga, ON L5N 0A4 11. APPROXIMATIVE VALUE Between $60,000.00 and $100,000.00 CAD 12. SUPPLIERS' RIGHT TO SUBMIT A STATEMENT OF CAPABILITIES Suppliers who consider themselves fully qualified and available to provide the goods, services or construction services described in the ACAN may submit a statement of capabilities in writing to the contact person identified in this notice on or before the closing date of this notice. The statement of capabilities must clearly demonstrate how the supplier meets the advertised requirements. 13. CLOSING DATE FOR A SUBMISSION OF A STATEMENT OF CAPABILITIES The closing date and time for acceptation statements of capabilities is on February 17th, 2022 at 2:00 p.m. eastern standard time EST. 14. If no other supplier submits, on or before the closing date, a Statement of Capabilities that meets the requirements set out in the ACAN, the contracting authority may then proceed with the award. However, should a Statement of Capabilities be found to meet the requirements set out in the ACAN, then the contracting authority will proceed to a full tendering process. Suppliers who consider themselves fully qualified and available to provide the services/goods described herein, may submit a statement of capabilities in writing to the contact person identified in this Notice on or before the closing date of this Notice. The statement of capabilities must clearly demonstrate how the supplier meets the advertised requirements. The PWGSC file number, the contracting officer's name and the closing date of the ACAN must appear on the outside of the envelope in block letters or, in the case of a facsimile transmission, on the covering page. The Crown retains the right to negotiate with suppliers on any procurement. Documents may be submitted in either official language of Canada.
